The proxy infrastructure solution with multiple IP addresses, managed by U2DPN and its affiliates (hereafter referred to as “U2DPN,” “we,” “our,” or “us”), allows users to connect to the internet or utilize our data collection and proxy management services (collectively known as the “System”).
The System is designed for research, personal, and commercial purposes. It may only be used for lawful and legitimate activities as outlined in this License Agreement and any relevant laws. This License Agreement (“this Agreement”) governs all versions of the System, including any individual features and derivatives. By clicking “Register” or starting to use the System in any manner, such as a Free Trial, you, the user, acknowledge that you have read and agree to enter into this legally binding Agreement with U2DPN and consent to comply with this Agreement and any additional terms of support services agreements, as provided separately.
The latest version of this Agreement can be accessed on the U2DPN website (U2DPN.io/license-agreement). By using the System, you consent to fully and irrevocably adhere to the terms and conditions outlined in this Agreement. If you do not accept these terms, you must cease using the System immediately or uninstall any software included as part of the System. Unless otherwise specified, this Agreement will also govern any additions or improvements to the System. If you are utilizing the System on behalf of an organization, you confirm that you are authorized to accept this Agreement on its behalf and that you bind the organization to its terms.
Grant of Limited License
Under the conditions of your ongoing agreement and adherence to this Agreement, U2DPN provides you a non-exclusive, non-transferable, and revocable limited license to access and utilize the System for personal, research, and your lawful commercial activities for the period defined by the U2DPN System subscription package you select. The specific U2DPN System subscription package you choose will determine the duration and technical limitations of your usage of the System. Acquiring this limited license necessitates purchasing one of the U2DPN System subscription packages and providing a valid payment method as a prerequisite for System access or use, with fees for the chosen package billed to this payment method.
Prices for U2DPN System subscription packages do not include applicable taxes, duties, or levies (such as VAT, withholding, customs, or others), and you are responsible for their payment. You also agree to abide by all applicable laws and regulations when using the System. U2DPN retains the authority to discontinue or withdraw support for the System, any part thereof, or any of its functionalities at any time, which will immediately terminate your license to use the System or the affected part. In such cases, U2DPN is not obligated to offer users refunds, benefits, or compensation.
The System may not operate optimally unless you use the most recent version. You agree to discontinue using older versions if requested by U2DPN or if it is stated that only the latest version should be used. Only individuals legally bound by and complying with this Agreement and all applicable laws may use the System. The System is not intended for use by individuals under 18 years of age, and U2DPN will not knowingly permit such individuals to use the System or collect their data.
U2DPN reserves the right to unilaterally impose or enforce restrictions on the use of the System, mainly to ensure compliance with the System’s acceptable use policies. At our sole discretion, we may also deny service, suspend access, or limit the use of the System at any time, with or without reason.
You may opt to purchase top-up system credits (“Credits”) through the dashboard, priced at one (1) dollar per Credit, plus any additional applicable taxes, levies, and duties, which are your responsibility. Credits can be used for services specified within the dashboard, with each Credit worth one (1) dollar. Credits that are not used within twelve (12) months will expire, and no refunds will be issued upon their expiration. If your SmartWallet lacks sufficient Credits to cover an upcoming payment, U2DPN may cancel your plan without prior notice. Any refunds for services paid with Credits will be issued as Credits and sent back to your SmartWallet. Credits are non-refundable, except as explicitly provided in this Agreement.
Personal information – Account and Payment
To use the System, you must furnish U2DPN with the necessary account details (valid email, username, and password) and payment information. You are responsible for ensuring that this information is up-to-date, accurate, and complete. You guarantee that the information you supply is truthful, complete, and accurate and that you are authorized to provide it. You also grant us the authority to verify your information at any time and our discretion.
Additionally, you need to know that our online reseller, Paddle.com, manages our order processing. Paddle.com acts as the Merchant of Record for all our transactions. Paddle provides customer service, manages inquiries, and oversees returns.
Accessing data, content, and resources via the System (Third-Party Content)
The System enables you to access data, content, and resources from third parties as though you were connecting via the IP addresses provided by the System. This externally sourced material is collectively known as “Third Party Content.” U2DPN upholds respect for the intellectual property, privacy, and security of others and expects the same from its users. When using the System to access any third-party content, it is advised to consult with the owners or representatives of the properties, individuals, and entities depicted in such content to obtain necessary consents and rights and understand any restrictions.
You bear sole responsibility for any Third Party Content you access, record, store, or use through the System, and you must not infringe on the rights or restrictions of the properties, individuals, and entities from which such content is sourced, whether those restrictions are explicitly stated or not. By using the System, you agree not to engage in activities that violate any laws or third-party rights, including but not limited to privacy and intellectual property rights, and to avoid any Prohibited Activities (detailed below). Violations, including participation in Prohibited Activities or breach of this Agreement, may result in civil, administrative, or criminal penalties, including but not limited to financial damages. We reserve the right to suspend access to the System at any time, without notice, at our discretion, to any users who infringe on legal rights or violate applicable laws.
Program for Referrals
We provide System users with an opportunity to recommend U2DPN services to new users (detailed below) and earn a 30% bonus from the new user’s initial transaction (either a subscription purchase or wallet top-up) as U2DPN wallet credits (this bonus is credited to both the referrer and the new user). To qualify as a referrer and participate in the referral program (“Eligible User”), you must meet the following criteria: (i) Be an active user of the System; (ii) Have subscribed to one of the plans for at least five (5) days; (iii) Not use bitcoin or any other cryptocurrency for your payments on the System; (iv) Use the System in compliance with this Agreement.
Eligible Users will receive a referral link in their System user profile, which they can share with non-System users (“New User”). If you are an Eligible User and haven’t received a referral link, please get in touch with our Help & Support. If a New User signs up for the System using a referral link from an Eligible User, both parties will receive a 30% bonus of the new user’s first transaction amount. Note that for both Eligible Users and New Users: (i) the bonus will be available after the new user has been active for five days following their first transaction; (ii) the bonus will be credited to both users as wallet credits; (iii) referral bonuses are only applicable to self-service plans, with custom and enterprise plans not eligible for bonuses. All participants in the referral program must adhere to this Agreement’s terms and avoid unfair practices, such as creating fake accounts or spamming potential referrals.
U2DPN reserves the right to suspend or terminate a user’s participation in the referral program or nullify any bonus credits at any time, at its sole discretion.
Intellectual Rights
The System, including its unique features, functionality, interfaces, and source code, is protected under copyright and other intellectual property laws and is the property of U2DPN. This agreement grants you limited licensing rights without transferring any ownership rights. U2DPN retains all rights, titles, and interest in the System, its features, functionality, interfaces, source code, and the software-defined below, along with all modifications, derivative works, and any elements incorporating your feedback or suggestions.
You are not permitted to reproduce, market, publish, distribute, modify, display, perform, re-post, or utilize any part of the System, its features, functionality, interfaces, or source code without prior written approval from U2DPN. The System incorporates proprietary notices and trademarks owned by U2DPN and third parties, and you agree not to infringe or dilute these trademarks and to not alter or remove any trademarks, copyrights, or notices from any part of the System.
U2DPN also owns the System’s software programming (“Software”), which is protected by copyright and intellectual property laws, as well as international agreements.
You must not (and must not permit any third party to) (a) decompile, disassemble, reverse engineer the System, its features, functionality, interfaces, source code, or the Software, or attempt Softwarever any source code or underlying structures by any means, unless such restrictions are prohibited by law; (b) distribute, resell, sublicense, lease or use the System for commercial purposes like hosting or time-sharing; (c) remove or alter any identification, proprietary notices, or copyrights from the System; (d) modify or create derivative works of the System, its components, or integrate them into other Software; (e) publishSoftwareance data or analysis from any source regarding the System; (f) use any means to circumvent copy protection, or use the System with unauthorized codes or devices; or (g) use the System to create competitive products.
Unauthorized use, reproduction, or distribution of the System or Software is strictly prohibited and may lead to severe legal penalties.
Violators will be pursued legally to the fullest extent possible. We welcome suggestions for enhancing the System. By submitting ideas, comments, or feedback, you agree that we may use them without restrictions or compensation. U2DPN reserves the right to use similar or related information previously known to us, developed by our employees, or obtained from sources other than you.
Compatibility
You acknowledge that you are entirely responsible for maintaining the hardware and software environment needed to install, operate, and access the System and its Software. This includes ensuring you have the appropriate operating systems and other necessary applications. You must also procure any hardware required to run the System and cover any associated costs, including but not limited to internet connection, data usage, or mobile carrier charges incurred while using the System.
We are not liable for any compatibility issues or faults that may arise, except where such matters are addressed in a separate support services agreement. If you have concerns about how well your hardware and Software will work with the software system, please get in touch with us directly. Additionally, the System may automatically download and install updates, upgrades, or other new features unless you turn off these functions in your account settings.
Indemnity
To the maximum extent allowed by applicable law, you agree to release, defend, indemnify, and hold harmless U2DPN, its affiliates, and their agents, along with their respective officers, directors, managers, partners, employees, agents, and contractors from any claims, costs, demands, or expenses, including attorneys’ fees, that arise from (i) any handling of Third Party Content such as distribution, publication, non-publication, removal, deletion, transfer, editing, or otherwise, particularly claims that such content is illegal or infringes on the intellectual property or other rights of third parties, (ii) your usage of the System or reliance on its proprietary features, functionality, interfaces, and operations, or (iii) your failure to adhere to or breach of this Agreement.
You may use the System to access and reproduce Third Party Content provided that such use is restricted to non-copyrighted material, material where you hold the copyright, or other material that you have the proper or legal permission to reproduce. Ownership and intellectual property rights in any content displayed, stored on, or accessed through your System reside with the original content owner. This content may be protected by privacy, copyright, or other intellectual property laws and may be subject to the terms of use of the third party that provides such content. This Agreement does not confer any rights to use such content, nor does it ensure its continued availability to you, except as expressly stated herein.
Activities Not Permitted
U2DPN is not obligated to enforce the Agreement against you but reserves the right to investigate and take appropriate action at our discretion if violations occur. Here is a non-exhaustive list of prohibited activities associated with the System. When using the System, you agree not to engage in, nor assist, encourage, or enable others to engage in the following prohibited activities:
- Violate general ethics, moral standards, good customs, and fair conduct norms.
- Infringe on any third party’s rights, including property, privacy, confidence, personal data, and intellectual property such as copyrights, trademarks, patents, or other proprietary rights.
- Participate in terror-related activities, military training, or similar actions.
- Engage in illegal, criminal, or unlawful activities, compromising security and privacy.
- Spy, stalk, harm, prank, harass others, or promote bigotry, discrimination, or espionage.
- Cause network resources to become unavailable, including through DoS or DDoS attacks.
- Conduct high-risk, harmful, or destructive activities, such as distributing viruses, adware, worms, trojan horses, malware, spyware, or other harmful computer codes.
- Involve minors in inappropriate ways, including the distribution or access of child pornography.
- Promote fraudulent, misleading, illegal activities or disseminate abusive, threatening, obscene, defamatory, or libelous information.
- Violate any law, this Agreement, or Privacy Policy.
- Modify, adapt, translate, or exploit the System or create derivative works.
- Use robots, spiders, or other automated means to access the System.
- Modify any part of the System’s functionality, interface, or other components.
- Remove or modify any copyright or trademark notices on the System.
- Attempt unauthorized access to the System, its features, U2DPN’s computer systems, or connected networks.
- Use the System in ways that cause undue strain on our hardware or software infrastructure. Softwaregage is a disproportionate and generally unacceptable activity.
You also agree not to perform any legal actions or engage in activities permissible under law without providing us with 30 days’ prior written notice and any information we may require to provide alternatives or accommodations.
We will disclose your data and information about any Prohibited Activities to competent authorities without your consent or notice in cases of criminal or administrative investigations, legal actions for suspected illegal activities, enforcement of this Agreement, compliance with legal processes, or to protect our legal rights, reputation, and property. We may also comply with domestic and foreign court orders related to privacy violations, other rights infringements, or any illicit use of the System.
Disclaimer of Warranty and Limitation of Liability.
YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SYSTEM, ALONG WITH DEPENDENCE ON ITS FEATURES, FUNCTIONALITY, AND INTERFACES, IS AT YOUR SOLE RISK. U2DPN MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND CONCERNING THE SYSTEM, THE SOFTWARE, ITS PROPRIETARY FEATURES, FUNCTIONALITY, INTERFACES, SOURCE CODE, THIRD-PARTY CONTENT, OR THE OUTCOMES THAT MAY BE DERIVED FROM USING ANY OF THE PRECEDING. ALL THESE ELEMENTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. U2DPN EXPLICITLY DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, SATISFACTORY QUALITY, ACCURACY, QUIET ENJOYMENT, COMPLIANCE WITH LAW, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. U2DPN RESERVES THE RIGHT TO AMEND ANY ERRORS OR OMISSIONS IN THE SYSTEM, FEATURES, FUNCTIONALITY, OR SOURCE CODE AT ITS DISCRETION.
U2DPN ALSO EXPRESSLY DISCLAIMS ANY WARRANTY OR GUARANTEE REGARDING THE OPERATIONAL SYSTEM RESULTS. THE SYSTEM MAY NOT OPERATE UNINTERRUPTED OR ERROR-FREE. IT IS NOT GUARANTEED THAT THE FUNCTIONS CONTAINED IN THE SYSTEM WILL MEET YOUR NEEDS, THAT ANY SYSTEM FEATURE OR FUNCTIONALITY WILL REMAIN AVAILABLE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SYSTEM WILL BE COMPATIBLE WITH ANY THIRD-PARTY SOFTWARE, APPLICATIONS, OR SERVICES, NOR THAT IT IS FREE FROM VIRUSES OR DEFECTS. YOU ASSUME TOTAL RESPONSIBILITY FOR THE LEGAL, SAFETY, AND SECURITY PRECAUTIONS NECESSARY FOR USING THE SYSTEM. U2DPN, ITS AFFILIATES, AND THEIR AGENTS, INCLUDING OFFICERS, DIRECTORS, MANAGERS, PARTNERS, SHAREHOLDERS, MEMBERS, EMPLOYEES, AGENTS, AND CONTRACTORS, WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, DATA LOSS, FAILURE OF SECURITY MECHANISMS, BUSINESS INTERRUPTION, OR LOST PROFITS, WHETHER CAUSED BY OR ASSOCIATED WITH THE SYSTEM, THE SOFTWARE, THIRD PARTY CONTENT, THIRD PARTIES, THIS AGREEMENT OR OTHERWISE, INCLUDING NEGLIGENCE, EVEN IF INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.
U2DPN SHALL NOT BE LIABLE FOR THE ACTIONS OF THIRD PARTIES. U2DPN’S TOTAL LIABILITY ARISING FROM THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS (USD $100). IN ANY EVENT, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Duration, Cancellation, and Suspension of the System
This Agreement takes effect from the moment you begin using or accessing the System and will remain in effect until it is terminated according to the provisions of this Agreement. You acknowledge and agree that U2DPN may, at its sole discretion and without prior notification, suspend your access to the System and may employ any other remedies available if it is determined that your use of the System (a) breaches (i) the terms of this Agreement, (ii) the rights of U2DPN or any third party, or (iii) any applicable laws or regulations, or (b) is deemed objectionable, inappropriate, or (c) involves any fraudulent activity. You acknowledge that monetary damages may not be an adequate remedy for breaches of this Agreement and agree to injunctive or other equitable relief for such violations without requiring U2DPN to secure a bond. U2DPN is not obligated to offer refunds or any form of compensation if your access as an authorized user is suspended because you have, in U2DPN’s sole discretion, violated the terms of this Agreement. Either party may terminate this Agreement at any time with an advance written notice specifying the effective termination date. U2DPN will not be liable for any refunds or compensation in the event of such termination.
U2DPN reserves the right to unilaterally and immediately terminate this Agreement if there is any unacceptable use of the System (as outlined in the Prohibited Activities section), any violation of third-party rights or applicable laws, or any breach of this Agreement, or if such use places U2DPN at risk under any applicable laws or regulations. Upon termination, the license granted under this Agreement will automatically cease, and you must immediately cease all use of and access to the System or uninstall any software provided as part of the System.
Export Regulations and Sanctions Compliance
The System, along with its unique features, functionality, interfaces, source code, and any included Software, may fall under the scope of export control and economic sanctions laws, as well as import regulations and requirements in certain jurisdictions. By utilizing the System, you affirm and guarantee that you are not situated in, nor under the control of, nor a citizen or resident of any jurisdiction subject to such restrictions.
Users in Government
The System, including its unique features, functionality, interfaces, source code, and the accompanying Software, was developed with private funds and is a commercial product. Should a government agency, department, or entity be the System’s user or licensee, they must establish a separate written agreement with us beforehand. Any use without authorization or beyond these terms is strictly forbidden.
Resolution of Disputes
All disputes and claims should be settled through negotiation. If the parties cannot resolve the dispute or claim within 30 (thirty) days through negotiations, it shall be conclusively settled by legal proceedings in a court of competent jurisdiction.
Additional Provisions
We retain the right to alter and update this Agreement at our sole discretion, at any time, for any reason, or no reason at all, without any notice or liability, as detailed below. Additionally, we reserve the right to modify, update, or cease the System’s operation at our sole discretion, at any time, for any reason or no reason, and without notice or liability. All System users are responsible for remaining informed of the latest version of this Agreement.
The most recent version of this Agreement can be accessed on the U2DPN website at U2DPN.io/license. We may issue notifications, including those about changes to this Agreement, by email or posting the updated Agreement on the U2DPN website. You are expected to review this Agreement each time you use the System, as you are bound by its terms each time you access or use it. Any amendments to this Agreement become effective when published as stated above. By continuing to use and access the System after these updates, you voluntarily agree to be bound by the revised Agreement.
This Agreement is the definitive agreement between you and U2DPN concerning the use of the System and replaces any prior agreements between you and us on this subject matter. The parties confirm that they have not relied on any statements not expressly included in this Agreement. Suppose any part of this Agreement is deemed unenforceable or invalid. In that case, that part will be modified or eliminated to the minimum extent necessary so that the remainder will continue to be fully valid and enforceable. You may not assign or transfer your rights or obligations under this Agreement to any third party. The section titles in this Agreement are included merely for convenience.
